Allgemeine Geschäftsbedingungen
Terms of Service — English version below
(2) Support erfolgt per E-Mail an info@eqannotator.com an Werktagen. Service-Levels für Enterprise-Kunden werden gesondert vereinbart.
§ 11 Haftung

Terms of Service
Convenience translation — the German version above is binding.
1. Scope, business customers only
(1) These Terms of Service apply to all contracts for the use of EQ Annotator (the "Service") between Eichenquast UG (haftungsbeschränkt), Leopoldstraße 2–8, 32051 Herford, Germany (the "Provider") and the customer.
(2) The Service is offered exclusively to businesses (entrepreneurs within the meaning of Sect. 14 German Civil Code), legal entities under public law and special funds under public law. Consumers are excluded. By registering, the customer confirms that it enters into the contract in the course of its commercial or independent professional activity.
(3) Deviating or additional terms of the customer only apply if the Provider expressly agrees to them in text form.
(4) The Data Processing Agreement (DPA) forms part of these Terms.
2. Services
(1) EQ Annotator is a software-as-a-service application for annotating images (e.g. numbers, arrows, highlights) in documentation written with Paligo. The Service comprises the web application, the editor and the Chrome extension. The scope of functions is described on the website at the time the contract is concluded.
(2) The customer needs its own Paligo account and a Paligo API key. Paligo is a product of Paligo AB; the Provider is independent of Paligo. Paligo's availability, features and interfaces are outside the Provider's control. If Paligo changes its interface or APIs, the Provider adapts the Service within a reasonable time, insofar as this is technically and economically reasonable.
(3) The Provider may develop and change the Service, provided the contractually owed core functions are retained and the change is reasonable for the customer.
3. Conclusion of contract and trial
(1) Registering and creating an organisation concludes a free trial contract. The trial lasts 14 days and includes up to 3 seats and 20 MB storage. It ends automatically and does not turn into a paid subscription by itself.
(2) The customer concludes a paid subscription by choosing a plan and the number of seats on the billing page and completing the order on the checkout page of our payment provider Stripe. The contract is concluded when this order is confirmed.
(3) For Enterprise plans (more than 10 seats), individually agreed terms apply in addition to these Terms.
4. Seats and users
(1) One seat entitles exactly one named natural person to use the Service (named user). Login credentials must not be shared by several people. Seats may be reassigned within the organisation when a user leaves permanently.
(2) The customer can add seats at any time. They take effect immediately and are charged pro rata for the rest of the current billing period.
(3) A reduction of seats takes effect at the end of the current billing period already paid for.
(4) The Standard plan covers up to 10 seats. For more seats, the Provider offers an Enterprise plan.
5. Prices and payment
(1) The prices on the pricing page at the time of the order apply. All prices are net prices plus statutory VAT where applicable.
(2) Fees are payable in advance for each billing period (monthly or yearly). Payment is processed by Stripe; invoices are provided electronically and sent by email. The customer agrees to electronic invoices.
(3) If the customer is in default of payment, the Provider may restrict access after prior notice in text form with at least 14 days' notice until the outstanding amounts are paid. Further rights remain unaffected.
6. Usage limits
(1) Each plan has limits for storage and seats as stated on the pricing page (Standard: 500 MB storage per organisation).
(2) If the customer exceeds a limit or the trial ends, the Service is not blocked automatically. The customer sees a notice in the dashboard and the Provider gets in touch. If the excess is not resolved within a reasonable period by a suitable plan or a reduction, the Provider may, after prior notice, restrict uploading further data.
7. Term and cancellation
(1) A subscription runs for the chosen billing period (one month or one year) and renews automatically for the same period unless cancelled.
(2) The customer may cancel at any time, without a notice period, effective at the end of the current billing period already paid for, via the customer portal on the billing page or in text form. The Provider may cancel with one month's notice to the end of a billing period.
(3) Periods already paid for are not refunded pro rata.
(4) The right to terminate for good cause remains unaffected.
8. Customer obligations
(1) The customer is responsible for the content it processes with the Service. It ensures that it holds the necessary rights to uploaded images and that processing them does not violate applicable law or third-party rights.
(2) If images contain personal data, the customer ensures that it may lawfully process them and transfer them to the Provider. Special categories of personal data (Art. 9 GDPR, e.g. health data) may only be processed under a separate agreement.
(3) The customer keeps login credentials and API keys secret and informs the Provider without delay if it suspects misuse.
(4) The customer refrains from actions that disrupt the operation of the Service or endanger its security, in particular automated mass requests, circumventing protection mechanisms and reverse engineering unless permitted by law.
9. Customer data
(1) All rights to the customer's content remain with the customer. The Provider receives only the rights it needs to provide the Service.
(2) Insofar as the Provider processes personal data on behalf of the customer, the Data Processing Agreement applies. The Privacy Policy applies to user account and billing data.
(3) Annotated images are written to the customer's Paligo instance and remain there after the contract ends. During the term, the customer can export its data stored with the Provider under "Data".
(4) After the contract ends, the Provider keeps the customer's data for 90 days so the customer can export it or continue the contract. It is then deleted unless statutory retention obligations apply. At the customer's request, the Provider deletes it earlier.
10. Availability and support
(1) The Provider aims for high availability of the Service. No specific availability is agreed for the Standard plan. Where possible, maintenance is carried out outside normal business hours, and longer maintenance is announced in advance.
(2) Support is provided by email to info@eqannotator.com on working days. Service levels for Enterprise customers are agreed separately.
11. Liability
(1) The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee given.
(2) In cases of slight negligence, the Provider is only liable for breach of an essential contractual obligation (an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment the customer may regularly rely). Liability is then limited to the foreseeable damage typical for the contract, at most to the fees the customer paid in the twelve months before the event causing the damage.
(3) For loss of data, the Provider is only liable for the effort that would have been required to restore it had the customer backed up its data properly. Annotated images are also stored in the customer's Paligo instance.
(4) Strict liability for defects already present when the contract is concluded (Sect. 536a(1) alt. 1 German Civil Code) is excluded.
(5) During free trials, the Provider is only liable for intent, gross negligence and the cases listed in paragraph 1.
12. Changes to these Terms and to prices
(1) The Provider may change these Terms and the prices with effect for the future. It announces changes in text form at least six weeks before they take effect. Price changes apply from the next billing period at the earliest.
(2) The customer may object to the change until it takes effect or cancel the contract as of that date. If it does not object, the change is deemed accepted. The Provider points out this consequence in the notice.
13. Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The exclusive place of jurisdiction for all disputes arising from this contract is Herford, Germany, insofar as the customer is a merchant, a legal entity under public law or a special fund under public law. The Provider may also sue at the customer's registered office.
(3) The German version of these Terms is binding. The English version is for information only.
(4) Should any provision be invalid, the validity of the remaining provisions remains unaffected.
